and Legal Notice

1. Wolff & Partners SCS

Electronic communications from Wolff & Partners SCS (“Wolff & Partners” or the “Firm”) are sent by a Luxembourg law firm organised as a société en commandite simple (SCS) and registered with the Luxembourg Bar.

Unless expressly stated otherwise, persons communicating through a Wolff & Partners email address do so in their professional capacity and on behalf of the Firm, and not in their personal capacity. The sending or signing of an email does not, in itself, constitute the assumption by the individual sender of a separate personal contractual obligation or liability.

Nothing in this notice excludes or limits any responsibility or liability which cannot lawfully be excluded or limited under applicable law.

2. Confidentiality, Professional Secrecy and Privilege

Emails sent by or to Wolff & Partners and any attachments may contain confidential information and information protected by professional secrecy, legal professional privilege, attorney-client privilege, work-product protection or equivalent protections under applicable law.

Such communications are intended solely for the person or persons to whom they are addressed. If you are not an intended recipient, please notify the sender promptly and delete the communication and any attachments. You should not use, copy, forward, disclose or otherwise distribute its contents.

The inadvertent transmission of confidential or privileged information to an unintended recipient is not intended to constitute, and should not be construed as, a waiver of any applicable confidentiality, professional secrecy, privilege or other protection.

The nature, existence and extent of any privilege or other legal protection are determined by the applicable law and cannot be created or conclusively determined by this notice.

3. Legal, Tax and Other Professional Advice

Any legal, tax or other professional advice contained in an email or attachment is provided solely in the context of the relevant engagement, for the client, matter, purpose and circumstances for which it was prepared.

Unless Wolff & Partners expressly agrees otherwise in writing, such advice may not be relied upon by any third party or for any other transaction, matter or purpose. The Firm accepts no duty of care or responsibility towards a third party merely because that person receives, obtains or is forwarded a copy of a communication or advice.

Advice may be based on the facts, assumptions, information and law existing or made available at the time it is given. Unless expressly agreed otherwise, Wolff & Partners is under no obligation to update previous advice to reflect subsequent changes in law, practice, circumstances or information.

Receipt of an email from Wolff & Partners does not, by itself, create a lawyer-client relationship or other professional relationship.

4. Jurisdiction and Scope of Advice

Unless expressly stated otherwise, advice provided by Wolff & Partners relates only to the laws and regulations of the jurisdiction or jurisdictions specifically addressed in that advice.

No communication should be interpreted as providing advice on the laws of another jurisdiction merely because the recipient, another party or an aspect of the relevant matter is located in, connected with or subject to that jurisdiction.

Where appropriate, advice concerning other jurisdictions should be obtained from suitably qualified local counsel or advisers.

5. U.S. Federal Tax Matters

Unless expressly agreed otherwise in writing, no email or other informal communication from Wolff & Partners is intended to constitute a formal U.S. federal tax opinion or to be relied upon for the purpose of obtaining protection from U.S. federal tax penalties. Any U.S. federal tax advice is subject to the scope, assumptions and limitations expressly stated in the relevant communication or engagement.

6. Authority and Contractual Commitments

Unless the communication expressly states otherwise and is made by a person authorised to bind the Firm, an email from Wolff & Partners does not, by itself, constitute or amend a contract, engagement, settlement, waiver, guarantee or other legally binding commitment on behalf of the Firm.

Any engagement of Wolff & Partners remains subject to the applicable engagement letter, terms of business and any other agreement entered into between the Firm and the client. In the event of any inconsistency between this notice and such agreed terms, the agreed terms shall prevail.

7. Email Transmission and Security

Electronic communications cannot be guaranteed to be secure, confidential, complete, accurate, timely or free from interception, corruption, malware or other interference.

Although Wolff & Partners takes appropriate measures to protect its information systems, the Firm cannot guarantee that any email or attachment is free from viruses, malicious software or other harmful components. Recipients remain responsible for applying their own appropriate security measures before opening or using electronic communications or attachments.

To the extent permitted by applicable law, Wolff & Partners accepts no responsibility for loss or damage arising solely from transmission errors, delays, corruption, interception or unauthorised alteration of a communication after it has been dispatched by the Firm.

8. Cybersecurity, Fraud and Payment Instructions

Email fraud, impersonation and cybercrime may involve communications that appear to originate from a legitimate law firm, lawyer, client or other trusted person.

Recipients should exercise particular caution regarding unexpected requests involving payments, transfers of funds, confidential information or changes to bank account or payment details.

A recipient should not rely solely on an email purporting to change bank account or payment instructions. Any new or changed payment instructions should be independently verified using previously established contact details or another trusted communication channel before funds are transferred.

Wolff & Partners cannot accept responsibility for payments made to fraudulent or incorrect accounts where payment instructions have been falsified, intercepted or altered by an unauthorised third party, to the extent permitted by applicable law.

9. Data Protection, Retention and Compliance

Electronic communications sent to or from Wolff & Partners may be stored, archived, reviewed, scanned or otherwise processed where appropriate for purposes including the provision of legal services, information and cybersecurity, conflict checks, compliance, regulatory obligations, professional obligations, anti-money laundering requirements, record keeping, business continuity and the establishment, exercise or defence of legal claims.

Any such processing is carried out subject to applicable data-protection law, professional secrecy and other applicable legal and professional obligations.

Further information regarding the processing of personal data is available in the Firm’s Privacy Notice.

10. Personal or Unauthorised Communications

Any views or statements contained in an email which are clearly personal, unrelated to the Firm’s business or outside the scope of the sender’s professional responsibilities should not be regarded as statements or opinions of Wolff & Partners.

The Firm accepts no responsibility for such personal or unauthorised communications to the extent permitted by applicable law.

11. No Waiver

No failure or delay by Wolff & Partners in exercising any right, remedy, privilege or protection should be interpreted as a waiver of that right, remedy, privilege or protection unless such waiver is expressly confirmed in writing by a person authorised to do so.

12. General

This notice applies to electronic communications sent by Wolff & Partners unless the relevant communication, engagement letter or other binding agreement expressly provides otherwise.

Nothing in this notice is intended to exclude, restrict or modify any obligation imposed on Wolff & Partners or its lawyers by applicable law, the rules of the Luxembourg Bar, professional secrecy, applicable rules of professional conduct or any other mandatory legal or regulatory requirement.
